Jersey - December 2, 2024. Galaxy Bidco Limited (the “Issuer”), a wholly owned subsidiary of Galaxy Finco Limited (the “Parent”), announced today that it has launched an offering (the “Offering”) of £350 million aggregate principal amount of Senior Secured Notes due 2029 (the “Notes”).
The gross proceeds from the Offering are expected to be used by the Issuer, together with drawings under a new term loan facility, to (i) redeem in full and satisfy and discharge the indentures governing the Issuer’s £405 million aggregate principal amount of 6.500% fixed rate senior secured notes due 2026 (the “Fixed Rate Senior Secured Notes”) and €200 million aggregate principal amount of floating rate senior secured notes due 2026 (the “Floating Rate Senior Secured Notes”), and the Parent’s £150 million aggregate principal amount of 9.250% senior notes due 2027 (the “Senior Notes”); (ii) repay and cancel amounts outstanding under an existing super senior revolving credit facility and, (iii) to pay related fees and expenses.
